By accessing, browsing, or using MiOffice AI, any of its subdomains, APIs, browser extensions, mobile applications, or related services (collectively, the "Service"), operated by JSVV SOLS LLC, a Virginia limited liability company ("Company", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service ("Terms"), our Privacy Policy, and all applicable laws and regulations.
If you do not agree to all of these Terms, you must immediately discontinue use of the Service. These Terms constitute a legally binding agreement between you and JSVV SOLS LLC.
If you are using the Service on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.
MiOffice AI is an AI-powered office suite providing applications for processing PDF, Word, Excel, images, video, audio, and other file formats. The Service includes both:
The Service may be offered in free and paid tiers. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation.
For client-side applications: MiOffice AI does not upload, transmit, store, or process your files on any server. All file operations execute within your browser's sandboxed environment.
For server-side AI applications: Files are transmitted over encrypted HTTPS, processed in isolated containers, and permanently deleted immediately after processing. We do not retain copies, create backups, or cache any user files. We do not inspect, analyze, or use the contents of your files for any purpose other than providing the requested processing.
AI models are downloaded to your browser for client-side AI features (e.g., face detection, background removal via ONNX). Inference runs locally. These models are open-source and are cached by your browser's Service Worker for offline availability.
We do not use your files, outputs, or any derivative data to train, fine-tune, or improve any AI or machine learning models.
Account creation is optional. You may use most client-side applications without creating an account. Account creation (via OAuth through Google, GitHub, Apple, Facebook, or X) is required to:
You are responsible for maintaining the security of your account credentials. You agree to notify us immediately of any unauthorized access. We are not liable for any loss resulting from unauthorized use of your account.
We reserve the right to suspend or terminate accounts that violate these Terms, at our sole discretion, with or without notice.
The Service uses a credit-based system for paid applications. Credits are one-time purchases (not subscriptions) and do not expire unless otherwise stated (e.g., Day Pass expires after 24 hours). Credit balances are non-transferable between accounts.
Prices for credit packs are displayed at the time of purchase. We reserve the right to change pricing at any time. Price changes do not affect previously purchased credits. All prices are in USD unless otherwise indicated.
All payments are processed by Stripe, Inc. By making a purchase, you agree to Stripe's terms of service. We do not store your payment card details.
Credits are generally non-refundable once purchased. However, we will issue a full refund of unused credits if requested within 7 days of purchase. If a GPU processing job fails due to a server-side error (not a user error), the credits for that job will be automatically refunded to your account. To request a refund, email [email protected] with your transaction ID.
We may offer free welcome credits, promotional credits, or earn-credits programs. These are provided at our sole discretion and may be modified, suspended, or terminated at any time without notice. Promotional credits have no cash value and cannot be redeemed for currency. Abuse of promotional credit programs (including creating multiple accounts) will result in account termination and forfeiture of all credits.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall NOT:
We reserve the right to investigate and take appropriate legal action against anyone who violates these prohibitions, including reporting violations to law enforcement authorities and pursuing civil remedies.
You retain all rights, title, and interest in and to files you process through the Service. We claim no ownership, license, or interest in your content. We do not and cannot access your client-side processed files. For server-side processed files, we process them solely to provide the requested service and immediately delete them.
The Service, including but not limited to the MiOffice AI name, MiOffice logo, "Mi" brand prefix, domain names (mioffice.ai), website design, user interface, source code, algorithms, AI models (where proprietary), documentation, marketing materials, blog content, SEO content, and all associated intellectual property, are the exclusive property of JSVV SOLS LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, reproduce, modify, distribute, display, perform, create derivative works from, or otherwise exploit any of our intellectual property without our prior written consent.
"MiOffice", "MiOffice AI", the MiOffice logo, "My Office. My Files. My Privacy.", and all related names, logos, product and service names, designs, and slogans are trademarks of JSVV SOLS LLC or its affiliates. You may not use these marks without our prior written permission. All other trademarks, registered trademarks, product names, and company names or logos mentioned on the Service are the property of their respective owners. Reference to any products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation by us.
If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, worldwide, royalty-free, irrevocable, sublicensable license to use, modify, and incorporate such feedback without any obligation to you.
The Starter credit pack ($6.99 / 100 credits) is our public-sample tier. AI generations you produce on the Starter plan — music, voice, image, and video outputs — may be saved by us and featured in the public sample library on our /go pages and tool carousels (e.g. samples shown on/studio/ai-music-generator/go) so other users can hear what the platform is capable of producing. Higher-tier plans (Basic, Pro, Heavy) are private — your generations stay yours and are never added to the public library.
What this means for you on the Starter plan:
Moderation: Generations that violate Section 6 (Prohibited Uses) — including content depicting minors, non-consensual intimate imagery, copyrighted source material, or impersonation of real persons — will not appear in the sample library and may result in account suspension.
We respect intellectual property rights and expect users to do the same. If you believe that content on the Service infringes your copyright, you may submit a DMCA takedown notice to our designated agent:
Your notice must include: (1) identification of the copyrighted work, (2) identification of the infringing material, (3) your contact information, (4) a statement of good faith belief that use is not authorized, (5) a statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized agent, and (6) your physical or electronic signature.
We may terminate accounts of repeat infringers in accordance with the DMCA.
The Service may contain links to third-party websites, services, or content. We do not control, endorse, or assume responsibility for any third-party content. Your interactions with third-party services are governed by their respective terms and privacy policies. We are not liable for any damage or loss caused by or in connection with use of third-party content.
Comparison pages on the Service (e.g., competitor comparisons) are provided for informational purposes only, reflect our honest assessment at the time of writing, and may reference third-party trademarks that are the property of their respective owners.
Access to our APIs, browser extensions, MCP (Model Context Protocol) server, Copilot integrations, and other programmatic interfaces is subject to these Terms and any additional API-specific terms. You agree to:

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, JSVV SOLS LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
AI-generated content (images, text, audio, video) may contain errors, inaccuracies, artifacts, or unintended outputs. You are solely responsible for reviewing and validating any AI-generated content before use. We do not guarantee the suitability of AI outputs for any specific purpose.
Since the majority of processing happens locally in your browser, processing performance depends on your device's hardware capabilities, available memory, and browser version.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JSVV SOLS LLC, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:
THIS LIMITATION APPLIES WHETHER THE ALLEGED LIABILITY IS BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER BASIS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).
Since client-side processing happens locally in your browser, data loss from file processing is a client-side event outside our control. We strongly recommend keeping original copies of all files before processing.
Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages. In such jurisdictions, the above limitations shall apply to the maximum extent permitted by law.
You agree to indemnify, defend, and hold harmless JSVV SOLS LLC, its officers, directors, members, managers, employees, agents, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and legal costs) arising from:

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Fairfax County, Virginia, United States. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
YOU AND JSVV SOLS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims.
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights. Small claims court actions are also excluded from the arbitration requirement.
These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions. To the extent that arbitration does not apply, any litigation shall be brought exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to the personal jurisdiction of such courts.
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms. Upon termination:

The Service may be subject to U.S. export control laws and regulations. You agree not to export, re-export, or transfer any part of the Service in violation of applicable export laws, including U.S. Export Administration Regulations (EAR) and Office of Foreign Assets Control (OFAC) sanctions. You represent that you are not located in, under the control of, or a national or resident of any country subject to U.S. trade sanctions.
We shall not be liable for any failure or delay in performing our obligations under these Terms caused by events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, wars, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, failure of telecommunications or information technology infrastructure, hacking, cyberattacks, DDoS attacks, or government actions.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
No waiver of any term or condition shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and JSVV SOLS LLC regarding the Service and supersede all prior agreements, understandings, negotiations, and discussions, whether oral or written.
You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets without your consent, provided the assignee agrees to be bound by these Terms.
We reserve the right to modify these Terms at any time. When we make material changes, we will:
